Terms of Service

The terms on which Zehn Eins Digital GmbH provides skube.

Version 1.0 · in force since 9 October 2026

1. Scope and parties

These Terms govern your use of skube, provided by Zehn Eins Digital GmbH, Im Mediapark 5, 50670 Köln, Germany (“we”, “us”). “You” is the account holder: the person or company the account is registered to.

skube is offered to businesses only, i.e. entrepreneurs within the meaning of § 14 BGB, acting in the course of their trade, business or profession, and not to consumers. By creating an account you confirm that you use skube for business purposes. The statutory right of withdrawal for consumers therefore does not apply. Your own general terms of business do not apply, even if we do not object to them.

skube is currently opening to new sellers step by step through the waitlist. Joining the waitlist only records your interest; the contract is concluded when we open your account and you accept these Terms at sign-up.

These Terms apply in version 1.0, in force since 9 October 2026.

2. What skube does

skube is a marketplace command center you operate from your AI assistant. It turns supplier files into marketplace-ready listings, validates them against a marketplace's own rules, publishes them, reads back rejections and sales data, and updates listings you already have, across the marketplaces you connect. We provide the software and the connections; the listings, the prices and the products remain yours, and so do the decisions about them.

3. Plans and prices

skube is offered in three plans: Free, Pro and Agency. What each one includes, and the current price, are shown on the pricing page; the plan you choose at sign-up is the one that applies. All prices are net, plus VAT at your country's rate: statutory VAT is added on top of every fee. Billing is flat per plan, never per seat and never per marketplace.

The Free plan costs nothing. A paid plan is billed monthly in advance: the first billing month starts on the day your paid plan starts, each following month on the same day of the next month, and the fee for a month is due at its start, by the payment method agreed when you upgrade. We send invoices electronically to the email address of your account. If a payment is not received, we remind you and set a reasonable deadline; if it is still outstanding after that, we may suspend the paid features until it is settled. Your data stays intact and the Free plan remains available to you in the meantime.

4. Term and cancellation

Your plan runs monthly and can be cancelled monthly, like any SaaS. There is no minimum term and no annual commitment. A cancellation takes effect at the end of the billing month already paid. The Free plan requires no payment method and can be left at any time. To cancel, write to info@skube.ai.

5. Your account and acceptable use

Keep your login credentials confidential and tell us promptly if you think someone else has them. You are responsible for what happens under your account.

You agree not to use skube to publish unlawful, infringing or misleading content; not to breach the rules of the marketplaces you connect it to; not to attempt to gain unauthorised access to the service, to other customers' data or to the systems behind it; and not to resell, sublicense or reverse-engineer the service. We may suspend an account that is being used this way, or that is causing damage to the service or to other customers.

6. Marketplaces and other third-party services

skube acts on your instruction against the marketplaces you connect, using the credentials you provide. Your relationship with each marketplace is governed by that marketplace's own agreement with you, and its rules apply to everything you publish there. We do not control a marketplace's decisions (whether a listing is accepted, hidden, changed or removed, or whether an account is restricted), and we cannot guarantee any particular outcome on a marketplace. Marketplaces also change their APIs and their requirements without notice to us.

7. The AI runs on your own plan

skube works inside the AI assistant you already use and runs on your own assistant subscription; we never charge you per token. That provider's own terms apply to their part, and a change on their side (pricing, availability, model behaviour) is outside our control.

8. Data protection

How we handle personal data as controller is set out in the Privacy Policy. Where we process personal data on your behalf (your marketplace and order data), the Data Processing Agreement forms part of these Terms and you accept it at sign-up.

9. Liability

Our liability is not limited for intent or gross negligence, for injury to life, body or health, for anything we have fraudulently concealed or expressly guaranteed, or under the German Product Liability Act (Produkthaftungsgesetz).

For slight negligence we are liable only if we breach an essential contractual obligation, i.e. one whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance you may regularly rely. In that case our liability is limited to the damage that was foreseeable and typical for this kind of contract when it was concluded. Otherwise, liability for slight negligence is excluded.

These limits also apply to the personal liability of our employees, representatives and vicarious agents.

10. Changes to these Terms

We may change these Terms or the prices, for example when the service, our costs or the law change. We tell you about a change by email to the address of your account at least six weeks before it takes effect. Until then you can object to it or cancel your plan. If you do neither and keep using skube after that date, the change counts as accepted; the notice will point this out. If you object, we may end the contract as of the date the change would have taken effect. A price change never applies to a billing month you have already paid.

11. Governing law and jurisdiction

These Terms and every contract under them are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes arising from or in connection with them is Cologne, Germany, provided you are a merchant (Kaufmann), a legal entity under public law or a special fund under public law, or have no general place of jurisdiction in Germany. We may also bring a claim at your general place of jurisdiction.

12. Severability

If a provision of these Terms is or becomes invalid, the remainder stays in force.
